Ticker Utility Bar

Ticker Utility Bar Terms of Use

Effective Date: 5 October 2026

1. Who you are agreeing with

Ticker Utility Bar ("the App") is provided by Stupandas (ABN 94 696 024 046) ("we", "us", "our"), a registered business name operating as a sole trader in Australia.

You can contact us at support@stupandas.com.

By installing or using the App you agree to these Terms of Use ("Terms"). If you do not agree, do not install or use the App.

You must be 18 or over to use the App.

2. What the App is, and what it is not

Ticker Utility Bar is a desktop bar for Windows. It watches market prices from sources you connect, applies rules you set, and shows you and alerts you about what those rules pick out. It also shows clocks, market sessions, an economic calendar, news and filings, notes, and buttons and hotkeys you configure.

The App is an information and convenience tool. It is not financial advice, and it is not a trading platform.

  • Nothing the App shows is a recommendation to buy, sell or hold anything. We have not agreed to give you investment, trading, tax or legal advice, and nothing in the App is personal to your circumstances. We are not a broker, a financial adviser or a market data vendor.
  • The App does not place, change or cancel trades, and does not ask your broker for permission to.
  • Rules, alerts, presets and thresholds are tools you configure. A rule firing, or not firing, says only that your rule's condition was or was not met on the data the App received. It says nothing about whether a trade is a good idea.
  • Where the App shows a headline, filing, calendar event or summary, it links to where that came from. It does not tell you why a market moved.

Trading carries a high risk of loss, and with leveraged products such as CFDs and futures you can lose more than you deposit. Every trading decision you make is yours alone.

2.1. Prices and data can be wrong, late or missing

The App shows data supplied by third parties: your price sources, the SEC, the feeds you add, and the official publishers behind the economic calendar. We do not control that data and do not warrant that it is accurate, complete, current or available.

In particular:

  • Prices can be delayed, stale, incomplete or wrong, at the source or on the way to you. Some accounts receive delayed rather than real-time data.
  • A connection can drop, stall or reconnect, and a source can change or withdraw its service without notice.
  • Calendar events can be rescheduled, revised or cancelled, and their times converted into your time zone using your computer's time-zone data, which may be out of date.
  • Your computer's clock, network, sleep and power settings all affect what the App receives and when.

The App is built to tell you plainly when it believes a source is delayed, disconnected or silent. It cannot detect every fault, and a warning it does not show is not a promise that the data is good. Before acting on anything the App shows, check it in your broker's own platform.

2.2. Alerts can fail

Alerts can be missed, late, early, repeated or wrong, for reasons including:

  • the data problems in clause 2.1;
  • your computer being asleep, locked, powered off or offline;
  • sound muted, the wrong audio device selected, or Windows notification, Focus or Do Not Disturb settings;
  • the App being closed, crashed, or suspended by Windows;
  • a rule set up differently from what you intended.

The App keeps an Alert History so you can check whether an alert fired and when. Treat alerts as a convenience, never as your only means of watching a position. If a missed alert would cost you money, have an independent safeguard in place, such as a stop order or an alert at your broker.

2.3. Hotkeys, buttons and automated steps

The App lets you set up hotkeys, buttons and rules that act on your computer for you: pressing keys, moving or clicking the mouse, copying to the clipboard, opening files, programs and links, and locking, restarting or shutting down your computer. These actions are sent to whatever window or program is active at the time, and the App cannot see what that is or what the action will do there.

Hotkeys and automated steps can fail to behave as intended. A shortcut can clash with another program's, Windows can refuse or redirect it, a different window can be in front, timing can differ, and a step can land somewhere you did not expect.

You are responsible for what your hotkeys, buttons and rules do. Test them before relying on them, and do not point them at anything where an unintended keystroke or click could cause loss, in particular order entry in a trading platform. We are not liable for the result of an action the App performed because you configured it to.

3. Your price sources and other services

The App connects directly from your computer to the price sources and services you choose, such as Kraken and cTrader. Those services are run by other companies, and your use of them is governed by your agreements with them, not by these Terms.

  • You are responsible for your accounts with them, for keeping your sign-in details safe, and for complying with their terms, including any limits on which software you may use, how often you may connect, and how you may use the data they provide.
  • The App does not give you any right to market data. Your entitlement to prices comes from your own account with each source. Data you receive is for your own use, and you must not redistribute it through the App or anything you build around it.
  • A source can change, restrict or end its service, or the way it allows apps like this one to connect, at any time. When that happens a connection may stop working until we can update the App, or for good.
  • The App stores your sign-in details in Windows Credential Manager, protected by your Windows account. Anyone who can sign in to your Windows account may be able to use them, so keep that account secure.

We are not responsible for any third-party service, its data, its availability, or anything it does with your information. See the Ticker Utility Bar Privacy Policy for what the App sends to each one.

4. Your licence

We grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the App on devices you own or control, for your own personal or internal business use.

You may not:

  • sell, rent, lease, sublicense or redistribute the App;
  • remove or alter any copyright, branding or attribution notices;
  • unlock paid features without paying for them, or interfere with how the App checks for them;
  • use the App, or the cTrader application identity it uses to connect, to get around a source's limits, to access accounts or data you are not entitled to, or in any way that breaches a source's terms;
  • interfere with or overload our services at stupandas.com, or use them for anything other than the App's own use.

Nothing in this clause limits any right you have under the Copyright Act 1968 (Cth), including your right to decompile for interoperability, or any other right that cannot lawfully be excluded.

We retain all intellectual property rights in the App. These Terms give you a licence to use it, not ownership of it.

5. Free and paid features

The App is currently free. We intend to offer paid features in future. Before anything is offered for sale, these Terms will be updated with what is sold, how it is billed and renewed, how to cancel, and how refunds work, and that will be shown to you at the point of purchase.

If you buy anything through the Microsoft Store, Microsoft is the merchant of record and your purchase is also governed by Microsoft's own terms and refund policies. We do not process, see or store your payment details.

Our intention is that the free version stays limited rather than broken: paid features add scale and sophistication, and basic correctness, including the warnings in clause 2.1, is never held back for payment.

6. Your data is yours, and it stays on your device

The App stores your settings, rules, notes, Alert History and Connection Log on your own computer, and your sign-in details in Windows Credential Manager. We do not have accounts and never receive a copy of your data. See the Ticker Utility Bar Privacy Policy for detail.

Backups are your responsibility. Your data can be lost if you uninstall the App, reset or lose your computer, or if it fails. Use Export in Settings if your configuration matters to you, and to move your setup to another computer. We cannot recover data we have never had.

7. Availability, updates, and changes

We may update, change or discontinue the App or any of its features at any time. We are not obliged to provide updates, support or continued availability. The App depends on Windows and on services run by others, and may stop working, in part or entirely, because of changes to them.

We may change these Terms. If we make a material change we will update the effective date above. The current version is always the one published on this page. Continuing to use the App after a change means you accept the updated Terms.

8. Australian Consumer Law

Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law or any other law that cannot lawfully be excluded.

Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures you are entitled to a replacement or refund, and to compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods or services remedied if they are not of acceptable quality and the failure does not amount to a major failure.

If you are outside Australia, you may have similar non-excludable rights under your local consumer law. Those rights are not affected by these Terms either.

9. Disclaimers and limitation of liability

Subject to clause 8, and to the fullest extent permitted by law:

  • The App is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose, accuracy, reliability or uninterrupted operation.
  • We are not liable for any loss or damage of any kind arising from your use of, or inability to use, the App, including a trading or investment loss, a missed or mistaken trade, a missed opportunity, lost profit, lost data, or any indirect, incidental, special or consequential loss. This applies to data that is wrong, late or missing, to an alert that fails to fire or fires late, early or incorrectly, to an action performed by a hotkey, button or rule, and to the failure of any third-party service.
  • Where our liability cannot be excluded but can be limited, our total liability to you is limited, at our option, to resupplying the App or refunding the amount you actually paid us for it in the 12 months before the claim.

10. Termination

You may stop using the App at any time by uninstalling it.

We may suspend or terminate your licence if you materially breach these Terms, in particular clause 4. Termination does not affect any refund rights you have through the Microsoft Store or under consumer law.

11. Governing Law

These Terms are governed by the laws of the State of Victoria, Australia. You and we submit to the non-exclusive jurisdiction of the courts of Victoria.

This does not deprive you of the protection of any mandatory consumer law of the country where you live.

12. Transfer

Stupandas currently operates as a sole trader. We may transfer these Terms, and our rights and obligations under them, to a successor entity that takes over the operation of Stupandas or of the App, including a company later formed for that purpose. We will note any such transfer in an updated version of these Terms.

A transfer does not reduce your rights: the successor takes on our obligations, anything you have paid for is unaffected, and your rights under the Australian Consumer Law continue to apply. You may not transfer your licence or your rights under these Terms to anyone else without our written consent.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

14. General

Our failure to enforce a provision is not a waiver of it. These Terms, together with the Ticker Utility Bar Privacy Policy and any applicable Microsoft Store terms, are the entire agreement between us about the App.

15. Contact

If you have questions regarding these Terms, please contact us at support@stupandas.com.
